What is a bill of lading (B/L)?

Definition, functions and variants of the sea freight document of title - and its role in automated document verification

The bill of lading (B/L) is the central document of sea freight. It is issued by the carrier - the shipping line or the forwarder - and combines three functions in one paper: receipt for the goods taken over, evidence of the contract of carriage, and document of title, whose transfer substitutes for the transfer of the goods. That makes it the only one of the classic transport documents that embodies a right to the goods themselves.

The three functions in detail

  1. Receipt. The carrier confirms takeover and the externally visible condition of the goods (“clean” without reservations, “claused” with defect notes). A “received for shipment” B/L confirms takeover; a “shipped on board” B/L confirms actual loading.
  2. Evidence of the contract of carriage. Route, parties and terms are documented - the basis for liability and claims.
  3. Document of title. Transferring the original transfers the right to the goods. Cargo can be sold or financed while at sea. For the same reason, late or lost originals cause real cost: no original, no release - but demurrage at the terminal.

Variants to keep apart in the document process

  • Order / straight / bearer B/L: distinguishes transferability. The order B/L “to order (of shipper)” with endorsement is the trade standard.
  • Master B/L vs. house B/L: the shipping line issues the master B/L to the forwarder; the forwarder issues its own house B/Ls to its customers. In consolidations, one invoice therefore relates to several related but non-identical documents.
  • Sea waybill: non-negotiable, no title function, release to the named consignee against proof of identity - faster and loss-proof, but unsuitable when the goods are to be traded in transit or a letter of credit is involved.
